Joe Francis — the mastermind behind “Girls Gone Wild” — is sending Madonna a cease and desist letter, threatening that he’ll take legal action if she sings the song from her new album — titled “Girls Gone Wild” — at the Super Bowl.
TMZ has obtained the letter that Francis has sent to Madonna and her “co-conspirators.” Francis’ lawyer threatens to sue all of them for attempting to get a “free ride on the valuable consumer goodwill and brand recognition” of Joe’s famous trademark.
Francis’ lawyer makes it clear: “Your misappropriation of my clients’ trademark will not be tolerated.”
But Francis is willing to cut a deal with Madonna, provided she agrees to the following terms:
– Negotiate an immediate licensing agreement for the use of Joe’s trademark
– Account for the number of times Madonna has already used the trademark
– NOT PERFORM THE SONG AT THE SUPER BOWL
Joe thinks NBC and the NFL are conspiring with Madonna, so the letter went to them as well.
Joe’s lawyer is demanding a response by 5 PM PT today … or else.

It wasn’t enough for Gary Dourdan‘s ex-girlfriend to obtain a restraining order against him for allegedly breaking her nose — she’s now SUING the actor for assault and battery.
Nicole Cannizzaro filed the lawsuit in L.A. County Superior Court, claiming Dourdan launched an unprovoked attack on her while she was shopping at a Whole Foods last November with the actor’s child.
According to the lawsuit, Nicole immediately hopped a ride to Gary’s apartment nearby to grab her stuff — and Gary arrived soon after, continuing his attack … punching her in the face and dragging her across the floor.
Nicole claims she tried to call 911, but Gary’s roommate stopped her. A neighbor eventually called the police and Gary was arrested.
Gary has since been charged with felony assault and battery — and a judge issued a restraining order against him on Nicole’s behalf.
Nicole is now suing Gary for assault, battery, and intentional infliction of emotional distress. She is seeking unspecified damages, totaling at least $25,000.
Law enforcement sources tell TMZ … Gary claims Nicole basically kidnapped the child and took her to the market without his permission.
The lawsuit could complicate matters for prosecutors, because now Nicole has laid her cards on the table and shown she has a financial stake in the outcome — which would make her a less than stellar witness in a criminal case.
Calls to Gary’s reps have not been returned.

TMZ has learned the judge in the Halle Berry, Gabriel Aubry custody war has issued his ruling, and we’re told Gabriel will not lose custody of Nahla while he’s being investigated for child endangerment.
But, we’re told, that’s not the end of the story. The ruling is complicated and there could be dramatic changes in the custody agreement.
As we first reported, Gabriel had already agreed to take anger management classes. As for Halle, she’ll continue with counseling. And, as we reported, 3-year-old Nahla will also undergo counseling.

Giants owner Steve Tisch confessed his Super Bowl superstition on TMZ Live today … saying he won’t remove 5-week old nail polish from his toes because he’s afraid it could sink his team.
Tisch says 5 weeks ago his young daughters painted his toenails red and blue … and his team hasn’t lost a game since — so now he’s afraid to remove the polish.
Tisch adds … he’s barely washed his feet since his girls shellacked him — and he has no plans to clean up … at least until after Sunday.
This little piggy went to the Super Bowl …

Charlie Sheen‘s real estate agent is being sued by Brooke Mueller‘s mom, who claims the realtor screwed her out of a commission for a mega-mansion Charlie purchased last year.
According to the lawsuit, obtained by TMZ, Moira Fiore claims she was tapped to help Charlie find a new house, but there was a big problem — she’s only licensed to sell real estate in Florida and Charlie wanted a new crib in L.A.
So Moira says she engaged the services of uber-realtor Marty Trugman, who has repped a slew of celebs in Hollywood.
Moira says Marty promised to give her 25% of his commission as a referral fee. Charlie used Marty and bought a $6,999,999 house, but Marty never paid her a cent.
We spoke with Marty, who laughed and said, “I never promised her a referral fee. She didn’t introduce me to Charlie. Brooke did.”
Sources close to Charlie tell us he’s pissed that — unbeknownst to him — Moira was “skimming the deal.” Charlie is saying if Moira gets any money from Marty, it should go to him or his kids.

Sharon Osbourne has been sued by a company that claims she reneged on a promise to hock jewelry bearing her name on the Home Shopping Network.
Lucas Design International claims Sharon approached them last year to design and manufacture a Sharon Osbourne jewelry line that she would personally sell on HSN. Lucas claims they hit the drawing board and came up with some awesome baubles, and projected they would sell a cool million bucks worth of merchandise in 2012 — with a 50% profit margin no less.
But it wasn’t to be, because according to the suit Sharon backed out of the oral agreement at the 11th hour.
Lucas is suing for unspecified damages.

Surrounded by an army of perfectly toned asses, devout virgin Tim Tebow appeared UNFAZED at a Super Bowl pre-party in Indianapolis last night … but he did pull off one pretty awesome maneuver for a fan.
Tim was hanging out on the balcony at the Bud Light Hotel party … when his buddy heard a fan down on the street begging Tebow to sign his hat.
Tebow — being awesome — instructed his buddy to signal to the fan to throw the hat up to the balcony … which he did. Tebow put his Hancock on the lid and got it back to the fan.

Arnold Schwarzenegger went all the way to India this week … and all he got was a big fat REJECTION from the Taj Mahal.
The ex-Governator — who’s in town for an environmental conference — was turned away from one of the 7 wonders of the modern world this morning after he informed it was closed to tourists due to Muslim prayer sessions.
According to Ahnald’s tour guide, the actor was totally bummed out … and went down the street to take a few cell phone pics with the building in the background.
Undaunted, Schwarzenegger continued his trek through India … and took out his frustrations on the biggest piece of naan he could find.

Jack Nicholson has never been one to mince words … the notion of going to the Super Bowl this Sunday makes him nauseous.
Nicholson grabbed some dinner with CSI minx Marg Helgenberger — no they’re not dating … just old friends — and a photog asked the die-hard Lakers fan if he was going to the big game.
Jack’s answer is shocking, but then again, it is Indianapolis (kidding).
